Welcome to DB Audit. These Terms of Service ("Terms") govern your access to and use of the DB Audit platform, including our website at dbaudit.ai, our cloud-based database auditing services, and any related software or services (collectively, the "Service").

DB Audit is operated by SubscribeIT ("Company," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

To access certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, complete, and current information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access or security breaches
• Accept responsibility for all activities that occur under your account
• Be at least 18 years of age or have the legal capacity to enter into these Terms

You may not use the Service if you are a competitor or for the purpose of monitoring service availability, performance, or functionality, or for any other benchmarking or competitive purposes.

DB Audit provides database auditing and security monitoring services, including but not limited to:

• Real-time database activity monitoring and logging
• Anomaly detection and threat identification using AI/ML algorithms
• Compliance reporting and audit trail generation
• Alerting and notification services
• Integration with third-party security tools and SIEM platforms
• Data classification and sensitive data discovery

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to affected users.

Your Data: You retain all rights to the data you submit to the Service ("Customer Data"). You grant us a limited license to use Customer Data solely to provide and improve the Service.

Security Measures: We implement industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.

Data Retention: We retain audit logs and Customer Data according to your subscription plan's retention period. Upon termination, we will delete your data within 30 days unless required by law to retain it.

Compliance: The Service is designed to help you meet compliance requirements such as SOC 2, HIPAA, PCI-DSS, GDPR, and others. However, you are responsible for ensuring your own compliance with applicable laws and regulations.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any purpose other than its intended database auditing functions
• Resell or redistribute the Service without our express written consent

Fees: You agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle.

Price Changes: We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

Refunds: Fees are non-refundable except as required by law or as explicitly stated in these Terms. If we terminate your account for our convenience, we will provide a pro-rata refund for any unused portion of prepaid fees.

Taxes: Fees do not include taxes. You are responsible for paying any applicable taxes, except for taxes based on our income.

The Service, including all software, content, features, and functionality, is owned by SubscribeIT and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission. Our trademarks, logos, and service marks may not be used without our prior written consent.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBSCRIBEIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

The Service is provided for monitoring and auditing purposes only. We are not responsible for security breaches, data loss, or other incidents affecting your databases. You are responsible for implementing appropriate security measures and responding to any threats identified by the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that the Service will detect all security threats or anomalies in your database systems.

By You: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period.

By Us: We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay fees when due, or if required by law. We may also terminate for convenience with 30 days' notice.

Upon termination, your right to access the Service will cease immediately. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, warranty disclaimers, and limitations of liability.

Governing Law: These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms or the Service will be resolved through binding arbitration in accordance with the AAA Commercial Arbitration Rules.

Modifications: We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SubscribeIT regarding the Service.
